EasyCarve Subscription Software License Agreement

This Software License Agreement ("Agreement") is entered into between you ("Subscriber," "You," or "Your") and Vectric Ltd. ("Vectric"," "Company," "We," or "Us"). By clicking "I Agree" and accessing or using the EasyCarve software (the "Software"), You agree to be bound by the terms of this Agreement. If You do not agree to these terms, do not use the Software.

  1. License Grant

Vectric grants You a non-exclusive, non-transferable, limited license to use the Software for the purpose of generating toolpaths from a library of copyrighted artwork (the "Artwork"), subject to the terms and conditions of this Agreement. You may not transfer, sublicense, or resell the Software to any third party without prior written consent from Vectric.

  1. Subscription Terms

Payment Period: Your subscription is divided into periods of thirty (30) days ("Payment Period").

Initial Term: Your subscription to the Software begins from the date that Your subscription order, using the FastSpring Service is accepted and is for a minimum of twelve Payment Periods ("Initial Term").

Automatic Renewal: After the Initial Term, the subscription will automatically renew at the beginning of each subsequent Payment Period unless You cancel the subscription as described below.

Cancellation: After the Initial Term, You may cancel Your subscription at any time with at least one (1) Payment Period's notice, submitted electronically using the subscription management tools within the Software interface.

Payment: Subscription fees will be deducted automatically from Your designated account at the beginning of each Payment Period until cancellation. You agree to keep Your payment information current and valid throughout the subscription period.

  1. Free Trial Mode

Eligibility: Vectric may offer a free trial mode ("Trial Mode"), allowing access to the Software without requiring an active subscription. The Trial Mode is available solely for testing purposes and may be subject to limitations at Vectric’s discretion. Access to the Software in Trial Mode may be withdrawn at any time, without notice and at Vectric's discretion.

Trial Limitations: In Trial Mode You will have access only to a limited set of sample models and features of the Software as determined by Vectric. These limitations may include restrictions on the number of toolpaths You can generate, the types of Artwork You can use, or other functionality of the Software.

  1. Acceptable Use of the Software and Artwork

Permitted Use: You may use the Software and the Artwork to generate toolpaths for Your legal projects.

Prohibited Use: You agree not to use the Software or the Artwork to create or support any illegal, defamatory, or otherwise objectionable content. Any use of the Software or Artwork in violation of applicable laws or regulations is strictly prohibited.

Reasonable Use: You agree to use the Software in a manner that does not unreasonably impact the performance, availability, or security of the Software or any other users or services provided by Vectric. Vectric reserves the right to monitor usage and restrict or terminate access if the use exceeds reasonable limits or violates this Agreement.

  1. Ownership and Intellectual Property Rights

All rights, title, and interest in and to the Software, the Artwork, and any accompanying materials remain the exclusive property of Vectric and/or its licensors. You acknowledge that You have no ownership interest in the Software or the Artwork.

  1. Termination

By Vectric: Vectric reserves the right to terminate Your subscription and access to the Software at any time, with or without cause, and will provide a prorated refund for any prepaid but unused subscription fees if We terminate Your subscription without cause.

By Subscriber: You may terminate this Agreement in accordance with the cancellation terms specified in Section 2.

  1. Payment and Billing

Payment Authorization & Processing: All processing of payments associated with Your subscription are governed by the terms and conditions of the Merchant and Seller of Record, Fastpring (https://fastspring.com/legal/terms-sale/).

Failed Payments: If a payment is declined or unsuccessful, Vectric may suspend Your access to the Software until payment is received.

  1. Disclaimer of Warranties

The Software and Artwork are provided "AS IS," without any warranty of any kind, either express or implied, including, but not limited to, warranties of merchantability, fitness for a particular purpose, or non-infringement. Vectric does not guarantee that the Software will be error-free or uninterrupted.

  1. Limitation of Liability

To the fullest extent permitted by applicable law, Vectric shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) Your use or inability to use the Software; or (b) unauthorized access, use, or alteration of Your transmissions or content.

  1. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of laws principles. Any disputes arising out of or related to this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.

  1. Entire Agreement

This Agreement constitutes the entire agreement between You and Vectric regarding the Software and supersedes all prior or contemporaneous communications, agreements, and understandings, whether written or oral.

  1. Modifications to Agreement

Vectric reserves the right to modify this Agreement at any time. If We make material changes, We will notify You by email or through the Software interface. Your continued use of the Software after the changes become effective constitutes Your acceptance of the modified terms.
